Terms of Service

These Terms govern your use of Movild — a mobile app and related software that lets you build, run, and ship software from your phone with the help of AI coding agents. Please read them carefully before using the app.

This agreement contains a binding arbitration provision and a class-action waiver that affect how disputes are resolved. Read Section 19 carefully.

01Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you (“you” or the “User”) and Movild, LLC, a Delaware limited liability company (“Movild,” “we,” “us,” or “our”). They govern your access to and use of the Movild mobile application, the movild command-line interface, our websites, APIs, and any related software and services (together, the “Service”).

By downloading, installing, accessing, or using the Service — or by clicking a button or checking a box indicating your acceptance — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization.

02Definitions

“Account” means the account you create to access the Service.

“AI Provider” means a third-party model provider whose models the Service uses to generate Output, such as Anthropic, OpenAI, or Google.

“Builder Mode” means the hosted mode of the Service in which Movild provides AI, a cloud execution sandbox, and hosting, billed through Credits.

“Credits” means the prepaid or plan-included units consumed when you use Builder Mode or other metered features.

“Developer Mode” means the bring-your-own-key mode in which agents run locally on your own machine via the movild CLI using API keys and accounts you supply.

“Inputs” means the prompts, instructions, code, files, and other materials you submit to the Service.

“Output” means the code, files, text, and other materials the Service generates in response to your Inputs.

“Your Content” means your Inputs, your Output, your repositories, and any other data you submit, generate, or connect through the Service. Your Content does not include Usage Data.

“Usage Data” means technical and operational data we collect about how the Service is accessed and used, including logs, telemetry, performance and error data, and data used to secure and improve the Service.

03The Service

Movild lets you connect a code repository, describe a task in natural language, and have an AI agent make changes, open a pull request, and give you a live preview — all from your phone. The Service is offered in two modes:

3.1 Builder Mode

In Builder Mode, Movild supplies the AI models, a cloud execution sandbox, and hosting so you can build without local setup. Builder Mode is metered and consumes Credits as described in Section 9.

3.2 Developer Mode

In Developer Mode, you bring your own AI Provider API keys and connect your own GitHub account, and the agent runs locally on your own machine through the movild CLI. Developer Mode is provided at no charge by Movild; you remain responsible for any costs charged by your AI Provider and other third parties.

3.3 Availability

The Service is provided on an evolving basis. We may add, change, suspend, or remove features at any time. We do not guarantee that the Service, or any preview, build, or deployment, will be uninterrupted, timely, secure, or error-free.

04Eligibility & accounts

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) and capable of forming a binding contract to use the Service. The Service is not directed to children under that age.

You are responsible for safeguarding your Account credentials and for all activity that occurs under your Account, whether or not authorized by you. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use of your Account. We may refuse, suspend, or cancel Accounts at our discretion as permitted by these Terms.

05GitHub & integrations

The Service integrates with GitHub and may integrate with other third-party platforms to read and write repositories, branches, commits, and pull requests on your behalf. When you connect such an account, you authorize Movild to access and act on the connected resources to the extent needed to provide the Service.

You represent and warrant that you have all rights and permissions necessary to connect those resources and to authorize the actions you direct the Service to take. Your use of any connected platform remains subject to that platform’s own terms, and Movild is not responsible for those platforms or their availability.

06AI features, inputs & output

6.1 How it works

The Service uses AI models — operated by Movild’s AI Providers or, in Developer Mode, by the providers whose keys you supply — to generate Output from your Inputs. You are solely responsible for your Inputs and for evaluating and using the Output, including reviewing and testing all generated code before relying on it, deploying it, or merging it.

6.2 Ownership

As between you and Movild, and to the extent permitted by law, you retain all rights in your Inputs and own the Output generated for you. We claim no ownership of Your Content.

6.3 Use of your data; no training without consent

We use your Inputs and Output only as needed to operate and provide the Service, to maintain security, and to comply with law. We do not use your Inputs or Output to train or fine-tune AI models for ourselves or any third party without your separate consent. Your Inputs and Output may be transmitted to and processed by AI Providers and infrastructure providers to generate Output; those providers’ handling of data is governed by their own terms and policies.

6.4 Nature of Output

Output is generated by probabilistic models and may be inaccurate, incomplete, insecure, or otherwise unsuitable. Output may not be unique, and similar Output may be generated for other users. Movild does not warrant the correctness, security, legality, or fitness of any Output. All Output is provided “as is.” You are responsible for all use of Output and for any decisions or actions based on it.

07Your Content

You retain all rights in Your Content. You grant Movild a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and otherwise use Your Content solely to operate, provide, secure, and improve the Service for you, and as otherwise permitted by these Terms and the Privacy Policy. This license ends when Your Content is deleted from the Service, except for copies retained in routine backups or as required by law.

You represent and warrant that you have all rights necessary to submit Your Content and to grant this license, and that Your Content does not infringe or violate the rights of any third party or any applicable law.

You are responsible for maintaining your own backups. We may set limits on storage, Credits, request volume, repository size, or other resources, and may delete or refuse content that exceeds those limits or violates these Terms.

08Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service to build, generate, host, or distribute anything unlawful, infringing, harmful, deceptive, or that violates the rights of others;
  • generate or deploy malware, spyware, or code intended to gain unauthorized access to, disrupt, or damage any system or data;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
  • copy, resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted;
  • circumvent, disable, or interfere with security, rate-limiting, metering, or access controls, or use the Service in a way that imposes an unreasonable load on our infrastructure;
  • use the Service to build a competing product or for competitive benchmarking, or use Output to train models that compete with Movild;
  • submit content you do not have the right to submit, or any sensitive data we instruct you not to submit (for example, payment card data, government identifiers, or protected health information), where the Service is not designed to handle it;
  • use the Service in safety-critical contexts where failure could lead to death, personal injury, or environmental or property damage.

You are responsible for all software, deployments, and actions you create with or direct through the Service.

09Credits, plans & billing

9.1 Credits

Builder Mode and certain other features consume Credits. Credits may be included with a paid plan or purchased separately. Credit balances, pricing, and consumption rates are shown in the Service and may change prospectively. Unless stated otherwise, Credits have no cash value, are non-transferable, and may expire.

9.2 Subscriptions & payment

Paid plans are billed in advance on a recurring basis (for example, monthly or annually) and renew automatically until cancelled. Where you purchase through the Apple App Store, billing, renewals, and refunds are handled by Apple under your App Store account and Apple’s terms; otherwise, payment is processed by our payment processor.

9.3 No refunds

Except where required by law or by the applicable app store’s policies, fees and Credit purchases are non-refundable and are not pro-rated on cancellation. You can cancel renewal at any time; cancellation takes effect at the end of the current billing period.

9.4 Taxes & changes

Stated prices may exclude applicable taxes, which you are responsible for. We may change prices, plans, and Credit rates prospectively; changes apply at your next renewal or purchase.

10Developer Mode & BYOK

In Developer Mode you supply your own AI Provider API keys and connect your own accounts, and the agent runs locally on your machine through the movildCLI. You are solely responsible for: (i) all fees and usage charged by your AI Providers and other third parties; (ii) compliance with those providers’ terms and usage limits; and (iii) securing your API keys and local environment. Movild does not control and is not responsible for third-party models, their availability, their output, or the costs they charge you. The CLI and related local software are licensed to you, not sold, for use solely with the Service.

11Third-party services

The Service relies on and interoperates with third-party products and services, including AI Providers, GitHub, hosting and sandbox infrastructure, payment processors, and app store platforms. Your use of those products is governed by their own terms and privacy policies. Movild does not control and is not responsible for third-party products, and makes no representations or warranties about them. Open-source components included in or distributed with the Service are licensed under their own terms, which control to the extent they conflict with these Terms.

12Intellectual property

The Service, including the Movild app, the movild CLI, our software, designs, brand, and the “movild” name and gradient mark, and all related intellectual property, are and remain the exclusive property of Movild and its licensors. Except for the limited rights expressly granted here, we reserve all rights. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service in accordance with these Terms. Nothing in these Terms transfers any of our intellectual property to you.

13Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant Movild a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without any obligation or compensation to you.

14Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service you consent to the data practices described there. We process Usage Data to operate, secure, and improve the Service, and as between you and Movild, Usage Data is owned by Movild.

15Suspension & termination

You may stop using the Service and delete your Account at any time. We may suspend or terminate your access, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms, if your use poses a security, legal, or operational risk, if required by law, or if you fail to pay amounts due.

On termination, your right to use the Service ends and we may delete Your Content, subject to routine backups and legal requirements. Sections that by their nature should survive termination — including Sections 6.4, 7, 12, 13, and 16 through 22 — survive. Termination does not entitle you to any refund.

16Disclaimers

The Service and all Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. Movild disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Movild does not warrant that the Service or any Output will be accurate, secure, reliable, uninterrupted, error-free, or free of harmful components, or that any build, preview, deployment, or pull request will meet your requirements. You assume all risk arising from your use of the Service and any code it generates.

17Limitation of liability

To the maximum extent permitted by law, Movild and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, or for the cost of substitute products or services, arising out of or relating to the Service or these Terms, whether based in contract, tort, strict liability, or any other theory, and even if advised of the possibility of such damages.

To the maximum extent permitted by law, Movild’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amounts you paid to Movild for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) fifty U.S. dollars (US$50). Some jurisdictions do not allow certain of these limitations, so some may not apply to you.

18Indemnification

You agree to indemnify, defend, and hold harmless Movild and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) Your Content; (ii) your use of the Service, including any software you build, deploy, or distribute with it; (iii) your violation of these Terms or any law; or (iv) your violation of the rights of any third party. Movild may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

19Governing law & dispute resolution

19.1 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and, where applicable, by the U.S. Federal Arbitration Act.

19.2 Informal resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@movild.com. If we cannot resolve it within sixty (60) days, either party may pursue the dispute as set out below.

19.3 Binding arbitration

Except for claims that qualify for small-claims court and for requests for injunctive or equitable relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by JAMS under its applicable rules. The arbitration will be conducted in the English language. You and Movild waive any right to a jury trial.

19.4 Class-action waiver

You and Movild agree that claims will be brought only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.

If any part of this Section 19 is found unenforceable, the remainder will continue to apply, except that if the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court rather than in arbitration.

20Apple App Store terms

If you obtain the Movild app through the Apple App Store, the following additional terms apply, and prevail over any conflicting term in these Terms with respect to the app:

  • These Terms are between you and Movild only, and not with Apple. Apple is not responsible for the app or its content.
  • Apple has no obligation to provide any maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app, and any claims relating to a failure to conform to any warranty are Movild’s responsibility.
  • Apple is not responsible for addressing any claims you or a third party have relating to the app, including product-liability, regulatory, or intellectual-property claims.
  • Your license to use the app is a non-transferable license to use it on any Apple-branded device you own or control, as permitted by the App Store Usage Rules.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties.

21Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide reasonable notice (for example, in the app or by email). Changes take effect when posted unless stated otherwise. By continuing to use the Service after changes take effect, you accept the revised Terms; if you do not agree, stop using the Service.

22General

These Terms, together with the Privacy Policy and any plan or order terms, are the entire agreement between you and Movild regarding the Service and supersede all prior agreements on the subject. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any partnership, agency, or employment relationship. We are not liable for any failure or delay caused by events beyond our reasonable control.
